PriceMux Terms & Conditions

Effective Date: 2026-05-19 Provider: Xynik LLC, a Florida limited liability company, 5474 Lake Howell Rd, Winter Park, FL 32792, USA (“Xynik,” “we,” “us”). The “App” or “PriceMux” means the PriceMux Shopify application distributed through the Shopify App Store and made available at app.pricemux.com.

1. Acceptance and Eligibility

By installing or using PriceMux, the Shopify merchant identified in the install flow (“Merchant,” “you”) agrees to these Terms. You represent that you have authority to bind the Shopify-account entity and that you accept the Shopify Partner Program Agreement and Shopify API Terms of Use that govern Shopify apps generally.

2. Service Description

PriceMux applies merchant-configured pricing rules to orders in your Shopify store, subscribes to the orders/create webhook for tier enforcement, and provides an embedded admin UI at app.pricemux.com. PriceMux operates as a processor acting on your documented instructions within the meaning of GDPR Art. 28.

3. Subscription, Fees, and Billing

Subscription fees are billed through the Shopify Billing API. Plan tiers and prices are stated on the App’s App Store listing, on pricemux.com/pricing, and within the embedded admin. Starter, Growth, and Pro start with a 14-day free trial; the first charge lands at the end of day 14 if you have not downgraded to Free or uninstalled. Pro+ has no free trial — its first charge lands when you subscribe. Subscriptions renew automatically at the end of each billing period — every thirty (30) days on a monthly plan, or every twelve (12) months on an annual plan. Your plan’s billing cadence is shown in the embedded admin at checkout. You may cancel at any time by uninstalling PriceMux from your Shopify admin, which stops further charges effective the end of the current billing period; no separate cancellation notice or email is required. On an annual plan the current billing period is the full prepaid year, so cancelling part-way through stops the next annual renewal but does not refund the remaining months. Plan changes are prorated automatically by Shopify Billing — Shopify credits the unused portion of the current period toward the new plan (upgrade) or the next invoice (cancel). Charges that have cleared are non-refundable. For Starter, Growth, and Pro the 14-day trial is the evaluation window before any charge clears; Pro+ has no trial and its first charge clears when you subscribe. If a material PriceMux service failure attributable to Xynik prevents you from using the App, Xynik may at its sole discretion grant a refund on request; no refund is contractually owed and merchants do not acquire a right to a refund by this provision. Failure of a Shopify Billing API charge will pause processing of new pricing rules after the grace period stated on your invoice. 4. License Grant

Subject to these Terms and continued payment, Xynik grants you a non-exclusive, non-transferable, revocable license to use PriceMux for your own Shopify store(s) during the subscription term.

5. Acceptable Use

You will not: (a) use PriceMux to violate the Shopify Acceptable Use Policy or the Shopify Protected Customer Data requirements; (b) reverse-engineer or scrape the embedded app; (c) configure pricing rules that result in unlawful discrimination or violate applicable consumer-protection law; (d) exceed published rate limits or fair-use caps stated in the embedded admin.

6. Merchant Data and Privacy

You acknowledge that PriceMux is a Shopify Protected Customer Data Level 1 app and processes only order-level fields described in the Privacy Policy. You remain the controller of any personal data of your customers; Xynik acts as processor. The PriceMux Data Processing Agreement is incorporated by reference into these Terms.

7. Shopify Compliance Webhooks

PriceMux honors the Shopify-mandatory privacy webhooks: customers/data_request, customers/redact, and shop/redact. Because PriceMux stores no customer-identifying fields, our customers/data_request response is either no_customer_data_stored or, when the orders_requested payload matches rows captured in our tier-counter table, order_usage_rows_exported together with the matching opaque Shopify order GIDs (no customer identifier attached); customers/redact deletes the corresponding tier-counter rows by order GID match against orders_to_redact; shop/redact triggers a full cascade delete of shop-scoped tables 48 hours after uninstall.

8. Term and Termination

These Terms remain in effect while PriceMux is installed on your store. You may uninstall at any time from your Shopify admin. Xynik may suspend or terminate access for material breach, including non-payment, violation of §5, or Shopify-platform-level removal of the App. On termination, Xynik will delete shop-scoped data per the retention schedule and the shop/redact cascade.

9. Warranty Disclaimer

PriceMux is provided “AS IS” to the maximum extent permitted by applicable law. Xynik disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in this section limits any warranty that cannot be excluded under applicable consumer law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Xynik’s total aggregate liability arising from or related to these Terms or your use of PriceMux is limited to the amount actually paid by you to Xynik in the twelve (12) months preceding the event giving rise to the claim. Xynik is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, or loss of data, even if advised of the possibility. This limitation does not apply to liability that cannot be excluded under applicable consumer-protection law.

11. Indemnification

You agree to indemnify Xynik for third-party claims arising from your configuration of pricing rules that violate applicable law, your breach of §5, or your failure to maintain your merchant-side privacy notice to your customers.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, USA, excluding conflict-of-laws rules. The state and federal courts located in Orange County, Florida have exclusive jurisdiction, subject to mandatory consumer-protection venue rules in the merchant’s home jurisdiction.

13. Changes

Xynik may update these Terms by posting an updated version and providing 30 days’ notice via in-app banner or email. Material changes (price increases, scope changes affecting merchant data) trigger 30-day notice; continued use after the effective date constitutes acceptance.

14. Miscellaneous

Severability; no waiver by inaction; entire agreement (these Terms, the Privacy Policy, the DPA, the Sub-processor List, and Shopify-imposed terms); notices to privacy@pricemux.com; assignment requires written consent except in a merger/acquisition of Xynik.
